How to name your company in accordance with the law

The question here is how to come up with a proper and legal name for a strong brand.

Enterprise’s name

1. The enterprise's name must be written in letters in the Vietnamese alphabet, possibly accompanied by the letters F, J, Z, W, digits, and symbols, and must include the following two elements:
   
   a) The type of enterprise, including limited liability company (the “limited liability” phrase may be abbreviated as TNHH); joint-stock company (the term “joint-stock” may be abbreviated as CP); partnerships (the term “partnerships” may be abbreviated as HD); private enterprises (the “private” phrases can be abbreviated as TN). 
   b) The proper name of the enterprise 

2. ​An enterprise may only use its business line or investment form to form its proper name if the enterprise registers that business line or makes investment in that form.

3. The name of a State economic corporation is decided by the Prime Minister.

Identical names and confusing names

1. The phrase “identical name” means that the name of an enterprise requesting registration is written and read in Vietnamese exactly the same as the name of a registered enterprise.

2. The following cases are considered to cause confusion with the names of other enterprises:
   
   a) The Vietnamese name of the enterprise requesting registration is read in the same way as the name of a registered enterprise; 
   b) The Vietnamese name of an enterprise requesting registration is different from the name of a registered enterprise only by the symbol "&"; symbol "-"; and the word "and"; 
   c) The abbreviated name of an enterprise requesting registration is identical to the abbreviated name of another registered enterprise; 
   d) The name in a foreign language of an enterprise requesting registration is identical to the name in a foreign language of another registered enterprise; 
   e) The proper name of an enterprise requiring registration is different from the proper name of an enterprise registered by one or several natural numbers, ordinal numbers, or one or some Vietnamese letters (A, B, C, ...) immediately following that enterprise’s proper name, except for cases where an enterprise requires registration as a subsidiary of a registered enterprise; 
   f) The proper name of an enterprise requesting registration is different from the proper name of an enterprise registered by the word "tan" immediately before, or "moi" immediately after the name of a registered enterprise (both “tan” and “moi” mean “new”); 
   g) The proper name of an enterprise requesting registration is different from the proper name of a registered enterprise only by the words "North", "South", "Central", "Western", "Eastern" or synonyms; except for cases where an enterprise requires registration as a subsidiary of a registered enterprise; 
   h) ​The proper name of the enterprise is the same as the proper name of a registered enterprise. 

Names of a branch, representative office, and business location

1. The names of branches, representative offices, and business locations must be written in the Vietnamese alphabet, and may include letters F, J, Z, W, numbers, symbols, and must be pronounceable.

2. The names of branches, representative offices, and business locations must bear the name of the enterprise together with the phrase “Chi nhanh” (branch) for registration of establishment of the branch, with the phrase “Van phong dai dien” (representative office) for registration of establishment of representative office and organizational form of a business location.For State-owned enterprises that are converted into dependent accounting units due to the reorganization, they may retain the names of State enterprises before they are reorganized. ther with the phrase “Chi nhanh” (branch) for registration of establishment of the branch, with the phrase “Van phong dai dien” (representative office) for registration of establishment of representative office and organizational form of a business location.

3. ​For State-owned enterprises that are converted into dependent accounting units due to the reorganization, they may retain the names of State enterprises before they are reorganized.
